• Client: The individual or entity engaging ASEUM INFOTECH for services
• Services: The web development, app development, SEO, digital marketing, CRM, ERP, and other related services provided by ASEUM INFOTECH
• Facebook Services: Lead generation, ads management, and related Facebook platform integration services
• Lead Data: Information collected from Facebook lead forms and advertising campaigns
• Platform: Facebook platform

2. Service Agreement

By using our services, you agree to the following:

• We will provide the services in accordance with the agreed scope of work
• You will provide all necessary materials and information required for us to perform the services
• The timeline for deliverables will be mutually agreed upon. Any delays on the client's side may affect the delivery schedule
• You authorize us to access your Facebook Business Manager, Pages, and advertising accounts as necessary to provide lead generation and management services

3. Facebook Platform Integration Services

3.1 Facebook Authorization

• You must authorize our application to access your Facebook Pages, Business Manager, and advertising accounts
• You are responsible for maintaining valid Facebook permissions and access tokens
• We are not liable for service interruptions due to Facebook policy changes or access revocation

3.2 Lead Data Management

• We will retrieve, process, and manage lead data from your Facebook advertising campaigns
• Lead data will be stored securely in compliance with Facebook's Platform Terms
• You retain ownership of your lead data, but grant us permission to process it for service delivery

3.3 Facebook Compliance

• Our services comply with Facebook's Platform Terms and Policies
• You agree to use Facebook lead data in accordance with Facebook's requirements and applicable privacy laws
• Any violation of Facebook's terms by you may result in service suspension

4. Intellectual Property

• All intellectual property created by ASEUM INFOTECH during the provision of services, including but not limited to source code, designs, logos, and content, remains our property until full payment is made
• Once full payment is received, ownership of the deliverables is transferred to the client, except for third-party components and licensed materials
• ASEUM INFOTECH retains the right to use any work created for portfolio and marketing purposes unless explicitly agreed otherwise

5. Client Responsibilities

You, as the client, agree to:

• Provide accurate and complete information necessary for the project
• Respond promptly to requests for feedback, approvals, and materials
• Ensure that the use of our services complies with applicable laws and regulations
• Facebook-Specific Responsibilities:
• Maintain valid Facebook Business Manager and Page admin access
• Comply with Facebook's Platform Terms and advertising policies
• Provide necessary permissions for our application to access your Facebook assets
• Respond to Facebook policy violations or access issues promptly
• Ensure your lead collection practices comply with applicable privacy laws

6. Payment Terms

• All services are provided on a prepaid basis unless otherwise agreed in writing
• We will issue invoices for services rendered. Payment is due within 30 days from the date of the invoice
• Late payments may result in delays in service delivery and may incur interest charges

7. Revisions and Modifications

• Minor revisions are included in the project scope, as defined in the service agreement. Any major modifications outside the agreed scope will be charged additionally
• Change requests during ongoing projects must be communicated in writing and may affect the timeline and cost

8. Cancellation and Termination

• Either party may terminate the service agreement by providing written notice
• If the client terminates the contract before project completion, ASEUM INFOTECH reserves the right to charge for work completed up to the date of termination
• ASEUM INFOTECH may terminate the agreement if the client fails to comply with the terms or makes late payments
• Facebook Services Termination: Upon termination, we will provide you with your lead data in a standard format and revoke our application's access to your Facebook accounts

9. Data Ownership and Portability

9.1 Your Data

• You retain ownership of all lead data collected through Facebook campaigns
• Upon request, we will provide your data in a portable format
• You may request deletion of your data in accordance with applicable privacy laws

9.2 Facebook Data

• Facebook lead data is subject to Facebook's Platform Terms and data retention policies
• We process Facebook data only as authorized by you and in compliance with Facebook's requirements
• We do not claim ownership of any Facebook-sourced data

10. Warranties and Disclaimers

• ASEUM INFOTECH strives to provide services with care and skill. However, we make no guarantees about the outcomes or success of the SEO, digital marketing, or other services due to factors beyond our control
• We do not warrant that the services will be error-free or uninterrupted, but we will work to resolve any issues that arise in a timely manner
• Facebook Services Disclaimers:
• We do not guarantee Facebook API availability or performance
• Lead generation results depend on multiple factors including ad quality, targeting, and market conditions
• Facebook policy changes may affect service functionality without notice

11. Limitation of Liability

• ASEUM INFOTECH will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data, or profits
• Our total liability under any agreement shall not exceed the amount paid by the client for the services

12. Confidentiality

Both parties agree to keep any confidential information shared during the project strictly confidential and will not disclose it to third parties without prior written consent.

Facebook Data Confidentiality: Lead data and Facebook account information will be treated as strictly confidential and will not be shared with unauthorized parties.

13. Data Protection

14. Third-Party Services

• Our services may involve the use of third-party tools, software, or platforms (e.g., hosting providers, CRM tools)
• ASEUM INFOTECH is not responsible for any issues or losses arising from the use of such third-party services
• Facebook Platform: Our Facebook integration services are subject to Facebook's Platform Terms, policies, and availability. We are not responsible for Facebook platform changes or outages

15. API and Platform Dependencies

15.1 Facebook API Dependency

• Our Facebook services depend on Facebook's Graph API and platform availability
• Facebook may change or deprecate API features, which may affect our services
• We will make reasonable efforts to adapt to Facebook platform changes

15.2 Service Level Expectations

• We strive for high availability but cannot guarantee uninterrupted service due to platform dependencies
• Scheduled maintenance will be communicated in advance when possible
• Emergency maintenance may occur without notice

16. Force Majeure

Neither party shall be liable for delays or failures to perform any obligations under these terms due to causes beyond reasonable control, including but not limited to natural disasters, strikes, internet outages.

17. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Gujarat, India.
